All price quotations are valid for 30 calendar days from the date of issue unless otherwise stated in writing. Quotations are non-binding until confirmed by a formal purchase order and order acknowledgment from Sdison. Prices are exclusive of applicable taxes, customs duties, shipping, and insurance unless explicitly included in the quotation. Sdison reserves the right to adjust pricing in response to changes in component costs, exchange rates, or regulatory requirements.
Standard payment terms are negotiated on a per-account basis. For first-time buyers, payment in advance via wire transfer (T/T) is required unless alternative terms have been agreed in writing. Late payments may incur interest at a rate of 1.5% per month on the outstanding balance. All banking charges and intermediary fees are the responsibility of the buyer.

Sdison's total aggregate liability for any claim arising from a commercial transaction shall not exceed the total purchase price paid by the buyer for the specific product(s) giving rise to the claim.
Sdison shall not be liable for delays or failures in performance resulting from force majeure events including but not limited to natural disasters, acts of war or terrorism, industrial actions, supply chain disruptions, changes in export control regulations, or telecommunications infrastructure failures.
Our products are warranted against defects in materials and workmanship for a period of 12 months from the date of shipment, unless an extended warranty period is specified in the sales contract. This warranty does not cover damage resulting from improper installation, unauthorized modification, operation outside specified environmental parameters, or normal wear and tear. All products are manufactured in compliance with applicable industry standards. Buyers are responsible for ensuring that products meet local regulatory requirements in their jurisdiction.
Sdison's wireless transmission products may be subject to export control regulations under Chinese law, international treaties, and the laws of the destination country. Buyers are responsible for obtaining all necessary export licenses, import permits, and regulatory approvals required for their jurisdiction. Sdison reserves the right to decline or cancel orders that would violate applicable export control regulations.
These Terms of Service and any commercial agreements arising from them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles. Any dispute, controversy, or claim arising from or relating to these terms shall first be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute shall be submitted to arbitration administered by the Shenzhen Court of International Arbitration (SCIA) in accordance with its rules then in effect. The arbitration shall take place in Shenzhen, Guangdong, China, and shall be conducted in English.
